IDLH Tactical Worksheet Terms of Use

1. Agreement and eligibility

These Terms of Use are an agreement between you and IDLH Technology LLC. By downloading, accessing, or using IDLH Tactical Worksheet or related account services, you agree to these terms and the Privacy Policy. If you do not agree, do not use the app or services.

If you use the app for a department, public agency, employer, or other organization, you represent that you are authorized to use it and to handle any information you enter, import, record, or export. If you accept terms for an organization, you represent that you have authority to bind it.

For an app obtained through Apple, Apple’s Standard Licensed Application End User License Agreement also applies. These terms supplement that agreement for IDLH Technology services and subject matter it does not address. If a signed agreement between IDLH Technology and your organization conflicts with these online terms, the signed agreement controls for that organization.

2. Authorized professional use

The app is intended for trained, authorized professionals and organizations. You are responsible for using it within your role, scope of practice, training, agency policy, law, and incident command structure.

The app does not make tactical, staffing, legal, medical, or safety decisions for you. Information displayed by software may be incomplete, delayed, entered incorrectly, lost, or unavailable. Users must independently confirm critical information using approved methods.

3. Local records, devices, and recordings

Version 1.0 is designed for offline-first operation. Operational content generally remains on the iPad unless an authorized user exports or shares it. You and your organization are responsible for:

• Device access controls, passcodes, physical security, software updates, backups, and approved configuration.
• The accuracy, legality, sensitivity, and authorized use of information entered or imported.
• Record retention, public-records requirements, evidence preservation, legal holds, and approved exports.
• Compliance with notice, consent, wiretap, body-worn recording, labor, privacy, and other laws before recording screen activity or microphone audio.
• Exporting required records before deleting the app, erasing or transferring a device, or closing an account.

IDLH Technology cannot retrieve or restore operational content that remained only on a user’s device and was not exported or backed up.

4. Acceptable use

You may use the app only as authorized by your subscription, organization, and applicable law. You may not:

• Use the app for unlawful, fraudulent, harassing, harmful, or unauthorized surveillance activity.
• Access another user’s or organization’s account, license, device, records, or seats without authorization.
• Bypass subscription, security, access-control, or technical restrictions.
• Copy, resell, rent, sublicense, distribute, reverse engineer, or create derivative works from the app except where applicable law expressly permits.
• Introduce malicious code, interfere with service operation, probe for vulnerabilities without written authorization, or use the service to harm others.
• Misrepresent the app as a certified replacement for required emergency, accountability, command, or life-safety systems.

We may suspend or restrict access when reasonably necessary to protect users or services, investigate suspected misuse, comply with law, address nonpayment, or enforce these terms. When practical, we will provide notice and an opportunity to resolve the issue.

5. Subscriptions and billing

Some features require an active individual or department subscription. Subscription details, renewals, cancellations, trials, department seats, and billing are governed by the Subscription Terms and the terms displayed by Apple or Stripe at purchase.

Deleting the app does not cancel an Apple subscription. Billing or connectivity issues should be handled away from active incidents and must not alter established incident operations or life-safety practices.

6. Ownership, license, and feedback

IDLH Technology and its licensors own the app, website, software, design, trademarks, documentation, and related intellectual property. Subject to these terms and an active entitlement when required, you receive a limited, revocable, nonexclusive, nontransferable license to use the app for its intended purpose.

You retain your rights in content you lawfully create or enter. You grant IDLH Technology only the rights reasonably needed to provide a service you request—for example, reviewing a support attachment you intentionally send.

If you voluntarily provide ideas or product feedback, you permit us to use it without restriction or compensation, provided we do not claim ownership of your confidential operational records through this provision.

7. Availability, updates, and third parties

We may maintain, update, add, remove, or change features to improve security, reliability, compatibility, or product function. We do not promise that every feature will always be available, uninterrupted, error-free, or compatible with every device or future operating-system version.

Apple, Stripe, device operating systems, email services, exported destinations, and linked websites are independent third-party services with their own terms and policies. IDLH Technology is not responsible for a third party’s service or content.

Future or unreleased features are not part of the purchased service unless they are expressly included in the order or point-of-sale description.

8. Disclaimers and limitation of liability

To the maximum extent permitted by applicable law, the app and services are provided “as is” and “as available,” without warranties beyond those that cannot lawfully be excluded or those expressly stated in a signed agreement. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement to the extent permitted by law.

No software is fail-safe. IDLH Technology does not warrant that the app will prevent injury, death, property loss, missed communications, accountability errors, incomplete records, or operational mistakes. You remain responsible for professional judgment and approved redundant life-safety practices.

To the maximum extent permitted by law, IDLH Technology will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost data, business interruption, or loss arising from reliance on the app as a sole life-safety or accountability system. Any liability that cannot lawfully be excluded or limited remains subject to applicable law and any controlling signed agreement.

Nothing in these terms excludes a right, warranty, remedy, or liability that applicable law does not allow the parties to exclude.

9. General terms

Applicable law and public-agency requirements

Applicable law governs these terms. Mandatory public-agency, procurement, records, sovereign-immunity, and jurisdictional requirements remain effective where they cannot lawfully be changed by online terms. A signed agreement may establish additional governing-law or dispute terms for an organization.

Changes

We may update these terms as the app, services, or legal requirements change. The effective date identifies the current version. If a material change requires additional notice or consent, we will provide it through an appropriate channel.

Severability, waiver, and assignment

If part of these terms is unenforceable, the remaining terms continue to apply. A failure to enforce a term is not a waiver. You may not transfer these terms or an account without our authorization; we may transfer them as part of a lawful reorganization, financing, merger, or sale of the relevant business.

Entire agreement

These terms, the Privacy Policy, Subscription Terms, Apple’s applicable license terms, purchase terms, and any controlling signed agreement form the agreement governing your use.
